l Payment terms and conditions;

A) Letter of Credit Buyer shall open a Application(Pro-Advicing) Letter of
Irrevocable;
Confirmed; Transferable; Revolving Documentary Letter of Credit
for one year as per amount of the Contract in quantity of
xxxxxx MT for a face value of US$------ (US Dollars) issued by the
Buyer?s bank (in 100 of biggest one in the world, prime
bank in China). Within 15(fifteen days) working days the Seller will
issue 2% non- activate BP of monthly shipment value to the Buyer?s
Bank, and the Buyer?s bank activate Letter of Credit in 3(three
days) working days, and make Seller?s BP work.
Buyer shall pay all Letter of Credit opening bank charges and
reimbursing bank charges, and seller shall pay all bank charges
arising outside of the Bank at which this Letter of Credit is
established.

B) Provisional Payment (each month goods shipment)

The said Letter of Credit shall be payable by telegraphic transfer by the opening bank against Seller?s sight draft for the amount of 95% of the value as construed in Clause 4 of each respective shipment accompanied by the documents stipulated in Clause 7 of this contract. The Draft Survey Certificate of Weight issued by a qualified surveyor by survey of ship?s draught, where vessel is fully loaded with buyer?s cargo together with the Certificate of Analysis of sample including the percentage of free moisture loss at 105 degree centigrade issued by Seller shall be the basis for seller?s provisional invoive.

C) Final Payment (each month goods shipment)

The balance 5% of the value of the shipment due to seller or buyer after provisional payment shall be made within thirty (30) days of completion of discharge at Discharge Port against seller?s sight draft drawn under the same Letter of Credit, accompanied by the following documents:
Weight Certificate issued by CIQ in original or photocopy
acceptable. Certificate of Analysis issued by CIQ in original or
photocopy acceptable. Seller?s signed final commercial invoice in
three (3) copies.
The final invoice shall be based on certificates issued by CIQ, in the event if CIQ certificates are not made available to the seller within thirty (30) days of completion of discharge at Discharge Port, the seller shall be paid against the Draft Survey Certificate of Weight and Certificate of Analysis and Seller?s signed final commercial invoice in three (3) copies issued at loading port on the balance 5% of the value of the shipment, the umpire?s payment adjustment is final.

shipment1. Completed set of "Clean on Board" marine Bill of Lading consigned to advising bank for further title transfer to the Buyer, marked ?Freight Prepaid?.
2. Provisional invoice in 3 (three) originals indicating contract number, Letter of Credit number, and the name of carrying vessel.
3. Certificate of Quality of contracted goods in 1 (one) original and 2 (two) copies are issued by SGS Brazil. Certificate of Quality shall show actual result of the test of chemical composition.
4. Certificate of Weight of contracted goods in 1 (one) original and 2 (two) copies are issued by SGS Brazil.
5. Certificate of Origin in 1 (one) original and 2 (two) copies detailing the name of commodity, loaded quantity, and the name of carrying vessel.
Documents for Final 5% of Value Payment

1. Sight draft for the balance after provisional payment drawn on Buyer.
2. Final invoice in 5 copies.
3. Copy of Weight Certificate issued by CIQ at the port of discharge.
